Q: Can a product's manufacturer attach conditions (such as an arbitration agreement) to the sale of its product by third parties?

bwDracoOn the retail packaging of a WD hard drive I recently purchased, I noticed text stating that the purchase is subject to terms and conditions listed on the WD website and inside the box, including binding arbitration (example). I understand that WD could refuse warranty service for a variety of v...

An example of just how risk-averse companies are today.

Multimillion pound business

(ok, the whole business isn't but why on earth is that equipment even there....)

@bwDraco How can you agree to something that is inside the (presumably shrink-wrapped) packaging/box? Surely that is not enforceable (as you are not able to read and agree with it before accepting the purchase).

Dunno

@bwDraco As long as they are providing a service to you (such as the ability to use their branded technology in your personal computer Mac), you are subject to an arbitration agreement in the case that you abuse that service and are found in requisite of a binding arbitration); that's a safety measure for people who have really good lawyers

how do you agree to the windows eulas that are displayed after you install it? :D

Even if it was readable at the time of purchase I have not agreed with any such contract with WD because WD is not a party to the contract of sale.

4:25 PM
> No limited warranty is provided by WD unless your WD Product ("Product") was purchased from an authorized distributor or authorized reseller. Distributors may sell Products to resellers who then sell Products to end users.

@djsmiley2k Most software asks you to agree to the EULA as the first part of the installation. I haven't installed Windows for a long time so I can't remember if the same applies to Windows.

@allq: That's not the arbitration agreement, which is the part in question (see linked document in question)

Shop shouting

I assume they have an agreement with authorized resellers that enables those resellers to transfer the warranty to the buyer

4:26 PM
it was a quote.. lol

Probably made by a third rate lawyer which just cut and pasted stuff. (The all caps nonsense has no special meaning cut is cut and pasted a lot).

@bwDraco the arbitration agreement would only be applicable if you agree to the warranty; you can always void your warranty and sue them directly I believe

@DavidPostill On the bundled (Dell) installs I've done, it has

I can see this as a condition to obtaining warranty service, but certainly not as a condition of sale (as WD is not party to the contract of sale between the retailer and consumer).
The doctrine of privity in the common law of contract provides that a contract cannot confer rights or impose obligations arising under it on any person or agent except the parties to it. The premise is that only parties to contracts should be able to sue to enforce their rights or claim damages as such. However, the doctrine has proven problematic due to its implications upon contracts made for the benefit of third parties who are unable to enforce the obligations of the contracting parties. == Third-party rights == Privity of contract occurs only between the parties to the contract, most commonly...

@bwDraco I think the retailer's legalese can make WD a party when an authorized retailer sells to you
but if you pick up a WD HDD out of a landfill and it works and you use it, maybe not then :P

4:30 PM
@bwDraco by using the services that the product provides, you subject yourself to binding arbitration in the condition that a dispute occurs

4:32 PM
> Given that the implied contract of sale is between the retailer and consumer, can a company impose conditions on the sale of products that it manufactured without being a party to said contract of sale? Under what circumstances, if any, is the arbitration agreement enforceable? Would the terms apply even if I never sought warranty service?

It's not a healthy place

@bwDraco the warranty is not the only service the product provides
The company provides the warranty but the product, an extension of the company, provides the service of data-storage and access.

The legal theory here doesn't make sense. Selling a physical product that does x does not mean that the company is itself rendering x as a service.

Technically it does
If you sell a warranty, you're providing a warranty as a service
if you sell a hard drive, you're providing the benefits of a hard drive as a service.

That's because the warranty work is actually done by the company.

4:37 PM
Not true.

grrr
why does the wifi keep dropping out :/

If you buy a DS at GameStop, or a Macbook from amazon, neither GameStop nor Amazon provide the services of their warranty; Nintendo and Apple do.

Again, warranty is work done by the company. The functions of a hardware device are not a service unless the manufacturer or other company is directly involved in its operation.

But the company manufactured the device, offering it to the customer using the retailer as a surrogate.

@varfirstName @bwDraco Surely the "physical product" comes under the label "goods" not "services". Or is the US legal system more borken than I thought?

4:40 PM
^^^ This.

But the service is the capability to use the device, is it not?

screw it
wifi teathering it is!

When I buy a can of beans I'm buying "goods" not services. When I buy a massage I am buying "services" not "goods" (even though massage may be "good" and I am walking away covered in oil...)
3

@DavidPostill haha :D

Using that analogy, you can say that when you buy a hard drive, you walk away with goods, and when you fire it up and use it to store data, you're using the services provided by the hard drive, and therefore the company
The actions of the hard drive are the service

4:45 PM
Unless there's a contract specifying so, this would fly in the face of established law.
I will excuse myself from this matter.

@varfirstName No they are not.
In economics, products can be classified into goods and services. Goods are items that are tangible, such as books, pens, salt, shoes, hats and folders. Services are activities provided by other people, such as doctors, lawn care workers, dentists, barbers, waiters, or online servers. According to economic theory, consumption of goods and services is assumed to provide utility (satisfaction) to the consumer or end-user, although businesses also consume goods and services in the course of producing other goods and services. == History == Physiocratic economists categorized production into...
There are five essential differences between services and goods. The first is that a service is an intangible process that cannot be weighed or measured, whereas a good is a tangible output of a process that has physical dimensions. This distinction has important business implications since a service innovation, unlike a product innovation, cannot be patented. Thus, a company with a new concept must expand rapidly before competitors copy its procedures. Service intangibility also presents a problem for customers since, unlike with a physical product, they cannot try it out and test it befor

> The first is that a service is an intangible process that cannot be weighed or measured
the service is the manufacturing of the product, if you want to get super technical
Though that might be a service the company renders to it's shareholders, rather than it's customers

@varfirstName You can weigh a disk drive and measure it as well, both physically and in terms of it's performance. That makes it a "good"

Yes, but the service is data-storage

You are not buying the "manufacturing" you are buying the "product".

4:53 PM
It's measured in an abstract sense
I concede though, I haven't had sleep in 18 hours
By the way, @JourneymanGeek, the first law of star fishing is there are no starfish

@mikeTheLiar no questions are on topic here

@varfirstName I'm not sure whether that is a complement or an insult :)

it's chat, but we might try and help if we can
Or do you mean are they on topic, on the main site?

More just that someone might be able to help

Sure, whatcha got?

I don't think it's worth an actual question because I'm sure I'm just doing something stupid

@mikeTheLiar better to just ask instead of asking to ask

Fair enough

"Current topics: Technology, Tea & Taylor Swift. You have backups, right?"

So the tl;dr is that I'm trying to get pylint to run on a commit hook for a project that has no __init__ in the root

git is technology :)

@DavidPostill LIES

So it's actual a combo of git/python and pylint config

where's the bit about chat isn't for questions tho @DavidPostill

!!!tayderp

and why hasn't my keyboard layout changed after changing it :/

@varfirstName That didn't make much sense. Maybe you meant: tayderp

@djsmiley2k that's only for ServerFault; we allow questions here

oh rly?
ok

6:15 PM
I can get pylint to run on the root director but it just dies with F: 1, 0: error while code parsing: Unable to load file '__init__.py' ([Errno 2] No such file or directory: '__init__.py') (parse-error)

hmmmmmm my keyboard in chrome is stuck on US even after I changed it in windows o_O

@djsmiley2k

@allquicatic You really don't like me today :)

Guess it needs a reboot and I can't be bothered :P

> This site is an extension of The Stack Exchange Network, so discussion should more or less revolve around the same topics you'd find at The Stack Exchange Network — but in an interactive, less strictly Q&A focused way.

6:17 PM
I found something that said to add a .pylintrc to the .git folder and to add this:

[MASTER]
init-hook="sys.path.insert(0,os.path.abspath('Path\to\goce\root'))"
But that didn't appear to actually do anything useful

@mikeTheLiar what do you have to do to successfully run pylint manually without git?
just have to replicate that while having git run it, that's all

You know that's a very good point. I've been banging my head against this problem for so long I forgot what the actual problem was

Thanks for rubber-ducking with me

Haha I think we've all managed that in the past
@Hennes Json Bourne Again Shell ?

6:22 PM
It would be a reboot
Argh. Drivers on USB, but no working USB on windows yet.

arugh derp

So no network, no USB.

now i remember why systems had cd drives!

@Hennes ethernet to another box with a ftp or windows share?

I have both a floppy and a CD. Neither are connected
The USB pendrive had the network drivers....

6:23 PM
wtf are we gonna do in the future with this crap D:

Time to remove the SSD and mount it on another desktop

@djsmiley2k Trust in the holy Microsoft to ship working drivers?

@Hennes exactly what I was gonna say

@allquicatic rooooooooofl

@Hennes I've got a question
@Hennes you need drivers for ethernet?

6:27 PM
Yes. Modern Z170 board. Win7 does not yet have the drivers

@Hennes *sigh* Just use Windows 10...

I got a 27 licence and I want to play a bit with the new hardware.
After that it will get esxi

> "Windows 10?! How quaint. *crackles knuckles*"
that's the reply I expected plz

@Hennes ESXi VI?

Whatever is current when I get around to it (esx has been the intendtion since I got it half a year ago)

6:29 PM
@Hennes when my eval license runs out, what happens?
@Hennes I might use Hyper-V eval if it comes to it

Hyper-V is not a type-1
And I wanted to play with PCI-e passthough.
Nut sure how much hyper-V likes that
oh, look. a 58GB SATA drive with an old backup. Smaller than my 64GB USB pendrive
That'll do.
To bad the newer board do not ship with eSATA as default
I still have eSATA pendrives
Which do not need extra drivers

I've never actually used esata
:/

It is sooooo much better than USB(2)
Much faster. Works everywhere. No drivers needed. No overhead.

yeah cept I only think one of my systems has a esata port :D
same issue with firewire

My old desktop had two. My laptop has one.
Plug in and it is recognised as a regular AHCI drive.
Even works with XP if the firmware is set to legacy mode

6:35 PM
nice

Come to think of it. It has an XP instyall on it, along a ghostcast server
So if I wanted to I could boot XP on my laptop.... just slighly outdated

@Hennes could I get an answer to my original question?

Whatever is current when I get around to it (esx has been the intendtion since I got it half a year ago)

>
@Hennes when my eval license runs out, what happens?

Eval from what?
Win7?

6:43 PM
I've got ESXi VI
Hey all, do you know how to concat a TextBox ASP control and a Literal ASP Control?

Then again, I don't manage a supercool SE blog

Early august

as we're doing that thing :D

Waiting for windows updates.....
I might repeat this windows setup with just a ancient 58GiB SATA HDD. In case I ever want to test things with an old OS.

7:12 PM
@Hennes what happens when my ESXi XI eval period ends?

No idea.
I never ran it before. I want to play with it.

I guess the answer is "then I'll install Xen and playw with that"
Which does not help you

I am not looking for a production setup. ONly to learn about the products before I ever use it in a job place

7:13 PM
Xen is the best hypervisor IMO, though if you really want to do what's best, you'll avoid virtualization at all and just use containers
the only reason to do full hardware virtualization is if you need to run e.g. Windows on top of Linux or Linux on top of Windows

how2container?

if you can run all your workloads on Linux, use containers
better yet, if you can run all your workloads on SmartOS, use SmartOS (better, more isolated, more secure containers)

I want to run FreeBSD, one or more linuxes and windows. And pass though 10GiB networking to BSD, and a dedicated graphics card to windows.
And play games on virtual windows

wirtual?

7:15 PM
Typing to fast and behind that regular clippy popup

don't use half-baked, insecure, non-isolated container "solutions" like LXC (LXD != LXC, even though the console command for LXD is lxc - get over it) or the "new" OpenVZ or try to use Docker as isolation

I thought you were referring to those indian scammers (no offense to yall who are indian)

I should be able to pass though one RAID card to windows, and theother HW RAID card and the 10GB NIC to BSD

Q: TotalRecorder software audio filter alternative for Windows

allquicaticTotalRecorder is a fairly unique piece of Windows software that can capture any audio output to any sound card on your computer. var firstNamePersonally, I would take it for a test run and see how it performs (seeing that you already dropped a good $500 into the equipment); however I would also say this is bad advice. Many people (without splitting their bandwidth) use wireless or wired range extenders. The effect of running 3 routers ...
